Terms of Service

These Terms of Service ("Terms") govern your access to and use of websites, messaging, and related services provided by Rovi Health, Inc. ("Rovi," "we," "us"). By using the Services you agree to these Terms and our Privacy Policy and Mobile Terms. If you do not agree, do not use the Services.

Who we are / HIPAA role

Rovi provides technology that helps members discover lower-cost, high-quality in-network care. For some customers (e.g., employer health plans, TPAs), we act as a Business Associate under HIPAA pursuant to a Business Associate Agreement ("BAA"). When handling Protected Health Information ("PHI"), the BAA controls with respect to PHI.

Eligibility

The Services are intended for individuals 18 or older. If a plan member is a dependent under 18, communications will be directed to the parent or legal guardian.

Acceptable Use

• No unlawful, harmful, or misleading activity.
• No reverse engineering, scraping, or access to non-public areas.
• No uploading malware or infringing others' rights.

Health & Insurance Disclaimers

We are not a medical provider, insurer, or plan administrator. Information we provide (including prices, locations, or benefits) is informational and may differ from final billed amounts, eligibility, or coverage determinations. Confirm clinical decisions with your clinician and coverage with your plan. In an emergency, call 911.

Communications

By providing contact information you agree we may contact you by email, phone, and SMS. SMS is governed by our Mobile Terms (STOP to opt out; message/data rates may apply).

Third-party Services

We use third-party providers to run the Services (e.g., Amazon Web Services, Vercel, Twilio, Plivo, analytics/monitoring, AI services). Your use of third-party sites is governed by their terms.

Intellectual Property & Feedback

The Services and content are owned by Rovi or its licensors. You get a limited, revocable license to use them for their intended purpose. If you send feedback, you grant Rovi a perpetual, irrevocable, royalty-free license to use it without restriction.

Beta Features

Betas are provided "as-is," may change, and may be withdrawn without notice.

Termination

We may suspend or terminate access for violations of these Terms or risk to the platform. You may stop using the Services at any time.

Disclaimer; Limitation of Liability

The Services are provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, Rovi disclaims all warranties and will not be liable for indirect, incidental, special, consequential, or exemplary damages. Our total liability for all claims relating to the Services is limited to amounts you paid to Rovi in the 12 months before the claim or USD $100 if you did not pay.

Indemnification

You will defend and indemnify Rovi against claims arising from your misuse of the Services or violation of these Terms.

Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Delaware (without regard to conflict-of-laws rules) and applicable U.S. federal law.

Arbitration & Class Action Waiver. Any dispute will be resolved by binding individual arbitration administered by JAMS (or AAA) under its rules. Class actions and class-wide arbitrations are waived. You may opt out of arbitration within 30 days of first use by emailing contact@rovihealth.com.

Export & Sanctions; Force Majeure

You represent you are not on any U.S. sanctions list and will not use the Services in embargoed countries. We are not responsible for delays/failures beyond our reasonable control.

Changes

We may update these Terms; material changes will be noticed where feasible. Continued use means acceptance.
